'The Company' refers to Apex Risk Management Oy. 'The Client' refers to any individual or entity engaging our services. 'Services' refers to the risk audit, insurance consulting, and crisis management solutions provided by The Company.
2. Scope of Services
The specific scope of services, deliverables, timelines, and fees for each engagement will be detailed in a separate, mutually signed Letter of Engagement. These Terms of Service govern the general relationship and supplement the Letter of Engagement.
3. Client Obligations
The Client agrees to provide timely access to necessary information, personnel, and resources required for The Company to perform the Services. The Client warrants that all information provided is accurate and complete to the best of their knowledge.
4. Fees and Payment
Fees for Services will be outlined in the Letter of Engagement. Unless otherwise specified, invoices are due within 30 days of receipt. The Company reserves the right to suspend services for overdue payments.
5. Confidentiality
Both parties agree to treat all information shared during the engagement as confidential. This includes business strategies, financial data, and proprietary processes. This obligation of confidentiality extends beyond the termination of the engagement.
6. Limitation of Liability
The Company's liability for any claim arising from the Services is limited to the total fees paid for the specific service in question. We provide our services with professional care and skill, but we do not guarantee specific outcomes, as risk management involves mitigating, not eliminating, all potential risks.
7. Governing Law
These terms and any engagement shall be governed by and construed in accordance with the laws of Finland. Any disputes shall be resolved in the district court of Helsinki.
8. Final Provisions
The Company reserves the right to modify these Terms of Service at any time. Continued use of our website or services after such changes constitutes acceptance of the new terms.
